idea-L® Terms & Conditions
Effective Date: May 1st 2025
Welcome to idea-L® ("we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of the idea-L® website, platform, services, and any associated applications or content (collectively, the "Platform").
By accessing or using idea-L®, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Who Can Use idea-L®
1.1 Eligibility Criteria
a) To use idea-L®, you must:
I. Be at least 18 years old or, if higher, have attained the age of majority in the jurisdiction in which you reside;
II. Have the legal capacity to enter into binding agreements;
III. Comply with all applicable local, national, and international laws and regulations;
IV. Not be located in or a citizen of a jurisdiction that prohibits participation in blockchain-related platforms or services.
1.2 Access Restrictions
I. We reserve the right to block or terminate access to users in restricted jurisdictions.
2. Account and Wallet Usage
2.1 Account Creation
I. You may be required to create an account or connect a digital wallet (e.g., Solana-based wallet) to access certain features of the Platform.
2.2 User Responsibility
I. You are solely responsible for maintaining the security of your account and wallet credentials.
II. idea-L® does not store your private keys or seed phrases.
III. You must keep your wallet secure and not share your credentials with anyone.
3. Idea Ownership and Confidentiality
3.1 Intellectual Property
I. To the extent that valid and protectable intellectual property (IP) exists in respect of any ideas you submit or build through idea-L® and you own such IP, we shall not raise any claim of ownership in respect of the same and it shall remain your IP.
II. idea-L® does not claim ownership over your content, IP, or business concepts.
3.2 Public Visibility
I. You understand that idea-L® is a collaborative platform.
II. Some visibility of your activity (e.g., DAO proposals or publicly shared ideas) may be available to other users.
III. Use discretion when submitting sensitive information.
IV. We cannot be responsible for any access, use or claim made by any third party in respect of your content, IP, or business concepts.
4. Platform Features and Availability
4.1 Evolving Services
I. idea-L® is an evolving platform. Features such as the Idea Realisation Platform™ (IRP™), Idea Funding Platform™ (IFP™), DAO governance, and token utilities may change or expand over time.
4.2 Service Modifications
I. We reserve the right to update, suspend, or remove any feature without prior notice. The act of accessing the Platform will confirm your acknowledgement to be bound by these Terms and any amendment or update from time to time.
4.3 No Guarantees
I. Access to idea-L® does not guarantee funding, investment, or business success.
II. All feasibility assessments and platform suggestions are guidance tools, and do not constitute financial advice.
5. Token and Governance Use
5.1 Token Requirements
I. Access to certain features may require holding GovToken or SecToken.
5.2 User Responsibility
I. Participation in token-related activity (e.g., staking, DAO voting, gated access) is at your own risk.
II. You are responsible for understanding the regulatory environment in your jurisdiction.
5.3 No Equity Rights
I. Token ownership does not confer equity or ownership in idea-L®.
II. Please consult guidance we issue from time to time including our white paper and token terms for more information.
6. Code of Conduct
6.1 User Behaviour
a) By using idea-L®, you agree to our Code of Conduct which includes that you will:
I. Respect other users, mentors, and community members;
II. Not post offensive, illegal, or harmful content;
III. Not attempt to breach the Platform’s security;
IV. Not impersonate another person or entity.
6.2 Enforcement
I. We reserve the right to suspend or remove accounts that violate this Code of Conduct.
7. Intellectual Property
7.1 Ownership Rights
I. All idea-L® trademarks, designs, logos, and original content are owned by idea-L® or its licensors.
7.2 Restrictions
I. You may not copy, reproduce, or distribute Platform content without our written permission.
8. Data Protection
8.1 Data Collection and Use
We may collect, process, and store personal data from users in accordance with applicable data protection laws. Personal data will be used solely for the purpose of providing and improving the Platform, ensuring a personalised experience, and communicating with users.
8.2 Consent
By using the Platform, users consent to the collection and processing of their personal data as described in these Terms. Users may withdraw their consent at any time only by contacting us at privacy@idea-L.com.
8.3 Data Security
We implement appropriate technical and organizational measures to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. However, users acknowledge that no method of transmission over the Internet or method of electronic storage is 100% secure.
8.4 Data Retention
Personal data will be retained only as long as necessary to fulfill the purposes for which it was collected, or as required by law. Upon expiration of the retention period, personal data will be securely deleted or anonymised.
8.5 User Rights
Users have the right to access, rectify, or erase their personal data, as well as to restrict or object to its processing. Users may exercise these rights by contacting us at privacy@idea-L.com.
8.6. Third-Party Sharing
We will not sell, trade, or otherwise transfer personal data to third parties without the explicit consent of users, except as required by law or as necessary to provide services (e.g., with service providers who assist in operating the platform).
8.7 International Data Transfers
If personal data is transferred outside the jurisdiction in which it was collected, we will ensure that appropriate safeguards are in place to protect the data in compliance with applicable laws.

9. Disclaimers
9.1 Service Provision
I. idea-L® is provided “as is” and “as available.”
9.2 No Guarantees
I. We do not guarantee uninterrupted access, error-free functionality, or specific outcomes from using the Platform.
9.3 No Advice
I. idea-L® does not offer financial, legal, or investment advice.
II. You are solely responsible for your decisions and actions.
10. Limitation of Liability
10.1 No Liability
I. To the maximum extent permitted by law, idea-L® is not liable for any direct or indirect, incidental, or consequential damages arising from your use of the Platform.
10.2 Specific Exclusions
I. This includes, but is not limited to, loss of data, profits, or business opportunities.
11. Termination
11.1 Termination Rights
I. We reserve the right to suspend or terminate your access to idea-L® at any time, without notice, if you violate these Terms or engage in harmful or abusive behaviour on the Platform.
12. Governing Law
12.1 Jurisdiction
I. These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).
II. Any disputes in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the DIFC. Both parties irrevocably submit to the jurisdiction of the DIFC courts and waive any objections to the venue or jurisdiction. We may also pursue claims in any other jurisdiction where we are entitled to do so.
III. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
13. Changes to These Terms
13.1 Right to Amend
I. We may update these Terms occasionally.
13.2 Notification
I. We will notify users of significant changes via the website or email.
13.3 Continued Use
I. Continued use of the Platform after changes are published constitutes acceptance of the updated Terms. The act of accessing the Platform will confirm your acknowledgement to be bound by these Terms and any amendment or update from time to time.
